RichHub Club California – Membership Agreement
This Membership Agreement (“Agreement”) is made between:
RichHub Club California (“Club”)
and
the undersigned individual or legal entity (“Member”).
By submitting the membership application or paying the membership fee, the Member agrees to the following terms and conditions.
1. Definitions

“Club” means RichHub Club California.

“Member” means the individual or entity approved for membership.

“Services” include events, networking, mentorship, education, and related activities provided by the Club.

“Platform” refers to the website, app, and communication channels of the Club.
2. Nature of Membership
2.1 Membership is private, discretionary, and invitation-based.
2.2 Membership does not grant ownership rights in the Club.
2.3 The Club acts as a connector and facilitator only and does not participate in members’ private transactions.
3. Eligibility
Members must:

be 18 years of age or older

act professionally and ethically
-
provide accurate and truthful information
The Club reserves the absolute right to approve or reject membership applications without stating any reason.
4. Membership Types and Fees
4.1 Membership plans may include Silver, Gold, VIP, Elite or future categories.
4.2 Fees are determined by the Club and may change at any time.
4.3 Membership fees and service fees are non-refundable, unless otherwise required by law.
4.4 Failure to pay applicable fees may result in suspension or termination.
5. Term and Renewal
5.1 Membership is valid for the period specified at registration.
5.2 Membership may be renewed subject to approval and payment of fees.
5.3 The Club may decline renewal at its discretion.
6. Confidentiality & Non-Disclosure
6.1 Members shall keep confidential:
6.2 Information shared in meetings, deal rooms, or platforms may not be disclosed to third parties without express written consent.
6.3 This obligation survives termination of membership.
7. Conduct & Professional Ethics
Members agree to:

show respect toward others

avoid harassment, discrimination, or abusive conduct

refrain from misleading claims, fraud, or illegal activity
Violation may result in immediate termination without refund.
8. Independent Transactions & Disclaimer
8.1 Any investment, partnership, or contract between Members is independent and private.
8.2 The Club:

does not provide financial, legal, or tax advice
-
does not guarantee results, profit, or performance
-
is not liable for losses, disputes, or damages arising from member transactions
Members must obtain their own professional advisors.
9. Events, Workshops, and Programs
Members participating in events agree to:

comply with venue and legal regulations
-
sign additional waivers if required
-
accept that events may be recorded or photographed
The Club may change, reschedule, or cancel events when necessary.
10. Use of Name, Logo, and Branding
Members may not use the Club’s:
without prior written authorization.
11. Technology & Platform Use
Members shall not:

misuse the platform

scrape data
-
spam other members
-
upload malicious content
Violation may result in termination.
12. Data Protection & Privacy
The Club may collect and process member data for:

administration

communication
-
event organization
-
compliance with law
Data will be handled in accordance with applicable privacy regulations.
13. Termination of Membership
Membership may be terminated by the Club if:
The Member may voluntarily cancel membership, but no refund shall be due.

Member agrees to indemnify and hold harmless the Club, its founders, officers, and representatives from any claims arising from the Member’s activities.
16. Governing Law and Dispute Resolution
This Agreement is governed by the laws of the State of California, USA.
Any dispute shall first be resolved through:

If unresolved, it shall be submitted to binding arbitration in California.
17. Amendments
The Club may update or amend the Agreement from time to time. Continued membership constitutes acceptance of changes.
18. Entire Agreement
This Agreement constitutes the entire understanding between the parties and supersedes any prior agreements.
